AR Distribution — Terms & Conditions of Sale

UK Law  These Terms & Conditions apply to all sales by AR Distribution.

1. Definitions

“Goods” refers to all items sold to the Customer, including replacements for defective goods.

“Contract” means the agreement between AR Distribution and the Customer for the sale of goods.

“Customer” refers to any person or organisation accepting AR Distribution’s quotation or placing an order under these terms.

2. Acknowledgement

All orders placed with AR Distribution are accepted subject to these Terms and Conditions of Sale. By placing an order, the Customer acknowledges and agrees to be bound by these terms, regardless of any other terms specified in their own purchase documents. Any changes to these conditions must be agreed in writing by AR Distribution.

3. Prices

1. AR Distribution reserves the right to withdraw any quotation before it is accepted by the Customer.
2. Prices may be updated at any time without prior notice. A current price list is available upon request.
3. A priced delivery note or invoice will be provided with each delivery. All trade prices are exclusive of VAT.

4. VAT

All prices are subject to VAT at the prevailing rate at the time of delivery.

5. Payment Terms

1. Ownership of the goods remains with AR Distribution until full payment has been received.
2. Unless a credit account has been approved, all invoices must be paid before goods are shipped.
3. A 3% settlement discount applies to balances paid within 7 days of the invoice date (unless otherwise specified).
4. Discounts are available only for payments made via bank transfer.
5. The Customer is responsible for all legal, administrative, and recovery costs incurred by AR Distribution in recovering overdue sums.
6. Payments must be made in full, without withholding, deduction, or set-off.
7. Interest will be charged on overdue balances at 10% per month from the due date until full payment is received.

6. Credit Accounts

Customers wishing to open a credit account must complete AR Distribution’s Credit Application Form, providing bank details and two trade references. AR Distribution reserves the right to approve, refuse, or withdraw credit facilities at its sole discretion.

7. Returns and Cancellations

1. Goods may only be returned with prior authorisation and must include a return reference and invoice number.
2. Orders may not be cancelled without written approval from AR Distribution. Unauthorised returns or cancellations may incur a restocking fee.
3. Goods that show signs of wear, damage, misuse, or neglect will not be accepted for return. Items approved for return must be packaged securely to prevent damage in transit. AR Distribution reserves the right to charge for any damage incurred.

8. Delivery

AR Distribution will make every effort to meet estimated delivery dates but cannot accept liability for any delay beyond its control.

9. Acceptance of Goods

Goods are deemed accepted by the Customer 24 hours after delivery unless written notice of rejection is provided within that time. Once accepted, goods cannot be rejected for non-compliance with the Contract.

10. Export

1. Separate Terms and Conditions apply to export orders outside of the UK mainland, including Northern Ireland, Eire, Scottish Isles, Isle of Man, Isle of Wight, and Channel Islands. These are available upon request.
2. AR Distribution reserves the right to decline supply to certain customers or regions and may request details regarding the intended end use and final destination of goods.

11. Carriage and Handling

1. UK Mainland orders are subject to a carriage and handling charge as shown on the current price list.
2. Orders to Northern Ireland, Eire, Scottish Isles, Isle of Man, Isle of Wight, and Channel Islands will be charged at the carrier’s current rate.

12. Shortages and Damages in Transit

1. Claims for shortages or damages must be submitted in writing within five (5) days of delivery.
2. Claims for non-delivery must be made within fourteen (14) days of the invoice date.

13. Ownership and Risk

1. Risk passes to the Customer upon delivery of the goods; however, ownership remains with AR Distribution until full payment is received.
2. While ownership remains with AR Distribution, the Customer must store goods separately and clearly identify them as AR Distribution’s property.
3. If goods are resold by the Customer before payment, AR Distribution’s entitlement shall extend to the proceeds of the sale, which must be held in trust for AR Distribution until full settlement.

14. Intellectual Property Rights

1. Customers may download and print extracts from AR Distribution’s website for personal use, provided:
   • No documents or graphics are modified,
   • Graphics are not used separately from accompanying text, and
   • Copyright and trademark notices remain visible.
2. Unless otherwise stated, all intellectual property rights in website materials (including images and graphics) belong to AR Distribution or its licensors. Unauthorised reproduction or use of any content is strictly prohibited.
3. No part of the website may be reproduced or stored in any retrieval system without written permission from AR Distribution.
4. Any rights not expressly granted are reserved.

15. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England, Scotland, and Wales.
